Terms of Service

These Terms of Service (the "Terms") govern the use of the Typegate platform - the websites at typegate.ch and dashboard.typegate.ch, the trial font CDN at fonts.typegate.ch, the public font preview pages, and the Typegate Figma plugin (together, the "Service") – operated by Typegate (typegate.ch), United States ("Typegate", "we", "us").

By creating an account, embedding a trial link, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you are authorised to bind that company, and "you" refers to it.

1. The Service

Typegate lets type foundries and other rights holders ("Foundries") upload font software and make protected trial versions of it available to prospective licensees ("Trial Users") via an embeddable stylesheet link, a public preview page, and the Typegate Figma plugin. Typegate is a distribution and evaluation tool: it does not sell font licenses and is not a party to any license agreement between a Foundry and a Trial User.

2. Accounts

• You must provide a valid email address and keep your credentials confidential. You are responsible for all activity under your account.
• You must be at least 16 years old and able to enter into a binding contract.
• We may suspend accounts or individual fonts that violate these Terms, infringe third-party rights, or endanger the Service. Where reasonable, we will notify you and give you an opportunity to remedy the issue.
• You can delete your account at any time in Profile Settings; deletion permanently removes your uploaded fonts and account data as described in the Privacy Policy.

3. Foundry content and warranties

Foundries retain full ownership of everything they upload. By uploading font software or other content, you warrant that:

• you own the font software or hold all rights necessary to authorise its distribution as trial versions through the Service;
• your content does not infringe any third party's intellectual property, personality or other rights, and does not violate applicable law;
• the family name, foundry name and other metadata you provide are accurate and yours to use.

4. Intellectual property & copyright

4.1 Foundry ownership

All font software uploaded to Typegate, including every derived artifact the Service generates from it (subsets, partially-instanced variable fonts, preview builds and format conversions), remains the exclusive property of the uploading Foundry or its licensors. Nothing in these Terms transfers any ownership of font software to Typegate or to Trial Users.

4.2 License you grant Typegate

To operate the Service, each Foundry grants Typegate a non-exclusive, worldwide, royalty-free license, for as long as the content remains on the Service, to host, store, cache, reproduce and technically process uploaded font software – including subsetting, instancing variable axes, converting formats and generating preview builds – and to distribute the resulting trial versions via the trial CDN, the public preview pages and the Figma plugin. This license exists solely to provide and protect the Service and ends when you delete the content or your account (except for transient caches, which expire on their own).

4.3 Trial license for Trial Users

Trial fonts served through the Service are licensed to Trial Users for evaluation only, unless the owning Foundry grants broader terms directly. As a Trial User you may load trial fonts through the embed link or the Figma plugin to evaluate the typeface in your own drafts and mockups. You may not:

• use trial fonts in production, in published or commercial work, or in shipped products;
• download, extract, copy, re-host, redistribute or sublicense trial font files;
• modify, decompile, reverse-engineer or convert trial font files, or circumvent the technical restrictions applied to them (including subsetting, axis-range instancing or suspension), except to the extent such a restriction is unenforceable under mandatory law;
• remove or alter any notices served with the trial files.

A production license must be obtained from the Foundry directly. Foundries may pause, change or revoke any trial at any time.

4.4 Typegate's own IP

The Service itself – including its software, design, wordmark and logo – is the property of Typegate and its licensors and is protected by copyright and other intellectual-property laws. These Terms do not grant you any right to use Typegate's marks or to copy or derive works from the Service, except as needed to use it as intended (for example, embedding the trial snippet on your site).

4.5 Copyright complaints & takedowns

Typegate respects intellectual-property rights and expects the same of its users. If you believe font software or other content on the Service infringes your rights, send a notice to hello@typegate.ch including: (a) identification of the protected work; (b) the URL or trial link of the allegedly infringing content; (c) your contact details; (d) a statement, made in good faith, that the use is not authorised by the rights holder; and (e) a statement that the information in the notice is accurate and that you are the rights holder or authorised to act for them.

We will review complete notices promptly and may suspend or remove the identified content while we investigate. The uploading Foundry will be informed and given the opportunity to respond. We may terminate the accounts of repeat infringers.

5. Acceptable use

You must not use the Service to break the law or harm others. In particular, you must not upload malware or content you have no right to distribute, probe or disrupt the Service or its infrastructure, attempt to access other users' accounts or data, scrape the Service at abusive volume, or misrepresent your identity or affiliation.

6. Trial monitoring

The Service records aggregate load statistics for embedded trial fonts and, when the Figma plugin is used, import records as described in the Privacy Policy. These records exist to protect Foundries' font software against misuse of trials, and you consent to this monitoring when you use trial fonts.

7. Fees

The Service is currently provided without charge. We may introduce paid plans in the future; if we do, pricing and payment terms will be communicated in advance and no existing feature you rely on will silently become paid without notice.

8. Availability, changes and beta features

We aim for high availability but provide the Service "as is" and "as available", without a guaranteed service level. We may change, add or remove features, and may discontinue the Service with reasonable advance notice, giving Foundries the opportunity to retrieve their content.

9. Disclaimer of warranties

To the maximum extent permitted by law, Typegate disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, or that trial restrictions cannot be circumvented by determined third parties.

10. Limitation of liability

To the maximum extent permitted by law, Typegate is not liable for indirect or consequential damages, loss of profits, revenue, data or goodwill. Typegate's aggregate liability arising out of or relating to the Service is limited to the greater of USD 100 and the amounts you paid us for the Service in the twelve months preceding the event giving rise to liability. Nothing in these Terms excludes liability for intent or gross negligence, or any other liability that cannot be excluded under applicable law.

11. Indemnity

If you upload content to the Service, you will indemnify and hold Typegate harmless from claims, damages and reasonable costs (including legal fees) arising from a third-party claim that your content infringes their rights or that your use of the Service violates the law.

12. Termination

You may stop using the Service and delete your account at any time. We may terminate or suspend your access for material breach of these Terms, where required by law, or upon discontinuation of the Service. Sections that by their nature should survive (including 4, 9, 10, 11 and 14) survive termination.

13. Changes to these Terms

We may update these Terms from time to time. For material changes we will give account holders reasonable advance notice by email or in the dashboard. Continued use of the Service after the effective date of the change constitutes acceptance; if you do not agree, stop using the Service and delete your account.

14. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, United States, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is the state and federal courts located in Wyoming, subject to any mandatory statutory venues (including those available to consumers).
